  • Course Overview

    This 1 day training course is designed for both experienced and newly appointed Company Directors who wish to deliver excellence in their roles as Board Directors. They will want to ensure that they know and understand the collective board responsibilities, as well as the individual responsibilities of directors and are complying with all of the relevant laws and regulations, including the Companies Act 2006. They will combine this knowledge with a good understanding of the 2018 UK Corporate Governance Code, effective 1 January 2019. This is a highly practical workshop, which will deliver the necessary underpinning knowledge in a way that will enable you to exercise those skills to achieve Excellence in the Board Room, as well as applying the highest standards of Corporate Governance in accordance with the 2018 UK Corporate Governance Code.

    The day primarily covers: the director requirements of the Companies Act 2006, including the 7 statutory duties; the new laws effective from 1 January 2019; the new 2018 UK Corporate Governance Code effective from 1 January 2019; the memorandum and Articles of Association, including the related board level issues; Companies House requirements, the Insolvency Act and the Director Disqualification Act. This will also cover the dynamics of effective board meetings and board/director evaluations and inductions.

    This training course is constantly being updated, to always contain the latest issues and includes information on matters that were only published in 2018 and therefore will first become effective on 1 January 2019. The Chairman of the Board of Directors, along with all other Company Directors, both Executive and Non-Executive Directors, will benefit from this course.

    The training course is delivered by some of the best Corporate Governance tutors in the UK. They are heavily involved with Corporate Governance at the highest possible levels and have a wealth of practical experience at their fingertips, as well as outstanding theoretical knowledge.   • Training Course Leaders

    One is an FCA, a Fellow of the Institute of Chartered Accountants of England and Wales, and a Chartered Director, the qualification awarded by the Institute of Directors. He is also a Fellow of the Institute of Consulting, a Fellow of the Institute of Directors and a former Councillor. He serves on the Thames Valley Board of the Chartered Management Institute and has just completed 12 years on the Chartered Director and Standards Committees of the Institute of Directors. He has over 30 years of successful UK and International experience, including 7 years as the Finance Director, Company Secretary and then the Chief Executive of a Plc, as well as 14 years with KPMG Management Consulting, IBM and Arthur Andersen.

    The other is a Chartered Company Secretary and the past President of the Institute of Chartered Secretaries and Administrators. He is also a Fellow of the Institute of Directors and for more than 10 years has been the Senior Corporate Governance Tutor at the Institute of Directors. He has over thirty years experience as a company director and more than 10 years experience as the Group Company Secretary of a listed plc. He is currently a non-executive director of four companies headquartered in Zurich, Abu Dhabi and the UK. He serves on a nomination and remuneration committee, as well as two audit committees and is the chair of one of these committees.
