Non-Executive Director Roles & Responsibilities

Company law considers all Board Directors to share equally in the legal responsibilities of running a company. This means that the legal duties and potential liabilities of Non-Executive Directors are exactly the same as those of the Executive Directors. The Companies Act 2006 does not differentiate between Executive and Non-Executive Directors.

Company law requires all Board Directors to understand their own accounts and holds the Directors collectively responsible for the validity of the annual financial accounts submitted to Companies House.

It would be impossible to fulfil the legal duties of a Board Director without a good understanding of the legal roles and responsibilities according to the Companies Act 2006 and the other relevant statutory requirements at Board level. This course will provide that knowledge and through case studies and discussions ensure that you are comfortable with the practical application of that knowledge.

This is a very practical course with extensive discussions around case studies that highlight common Boardroom dilemmas. For example a common potential conflict of Interest is that of Subsidiary Board NEDs with Executive roles in the Parent Companies. This course will enable you to resolve such matters to make sound Board decisions, which fully comply with your statutory duties as a Director.

Non-Executive Director Roles & Responsibilities Training Courses

There are many laws and regulations that apply to Board Directors. The Companies Act 2006 places many legal requirements upon companies and their Board Directors, some of which are grouped together as The Seven Statutory Duties of Directors:

• To act within their powers
• To promote the success of the company
• To exercise independent judgement
• To exercise reasonable care, skill and diligence
• To avoid conflicts of interest
• Not to accept benefits from third parties
• To declare any interest in a proposed transaction or arrangement

There are many other requirements of the Companies Act 2006 and there are other laws relevant to Board Directors. The legal compliance issues for directors seem to be being constantly increased.
